Free service
The LOI Checker is provided free of charge, on an “as is” and “as available” basis. Cyanway may change, suspend or discontinue the tool at any time without notice.

Information only, not professional advice
Results are general information. They are not legal, financial, tax, banking, customs or compliance advice. Using the tool does not create an attorney-client, advisory, agency, brokerage or any other professional relationship with Cyanway or its technology providers.

Automated results may contain errors
Scores, findings, summaries and templates are generated automatically, partly with artificial intelligence, and may be inaccurate, incomplete or outdated. A high score does not mean a letter is valid, enforceable, safe or acceptable to any seller, and a low score does not mean it is invalid.

No verification of parties or documents
The tool does not verify the identity, existence, authority, solvency or reputation of any company or person, nor the authenticity of any document, bank or account. Format checks on identifiers such as SWIFT/BIC or IBAN do not confirm that an account exists or belongs to the stated party. The LOI Checker is not a fraud screening or due diligence service.

You are solely responsible for the content you submit, for any decision you take and for any document you send, sign or rely on. Review every point independently and consult qualified professionals before acting.

Templates
The LOI template is a generic example. It must be adapted to your product, transaction and jurisdiction and may not be suitable for your case.

What you submit
Only submit documents you are authorized to share. Remove or mask information you do not want processed, such as bank account details and personal data. Your letter is analyzed automatically; the extracted data and the score are stored by Cyanway to operate and improve this free service, and the uploaded file itself is not kept. Limits: 10 MB per file and 10 checks per hour. The tool is powered by Mandu’a (mandua.ai). See our Privacy Policy.

No warranties
To the maximum extent permitted by applicable law, Cyanway and its providers disclaim all warranties, express or implied, including accuracy, completeness, merchantability, fitness for a particular purpose and non-infringement, and do not warrant that the tool will be uninterrupted, secure or error-free.

Limitation of liability
To the maximum extent permitted by applicable law, Cyanway Business LLC, its members, employees and technology providers, including Mandu’a, will not be liable for any direct, indirect, incidental, special, consequential or punitive damages, or for any loss of profits, business, contracts, data or opportunity, arising from or related to the use of, or inability to use, the tool or its results, even if advised of the possibility of such damages. Where liability cannot be excluded, it is limited to USD 100. Nothing in these terms excludes liability that cannot be excluded under applicable law.

Indemnity
You agree to hold Cyanway and its providers harmless from any claim arising from your use of the tool or from documents you prepare, send or sign with its help.
