1. Acceptance of these Terms
These Terms of Use (“Terms”) govern your access to and use of the websites cyanway.global and cyanway.us (the “Website”), operated by Cyanway Business LLC (“Cyanway”, “we”, “us”), a Delaware limited liability company. By using the Website, you agree to these Terms. If you use the Website on behalf of a company, you confirm that you are authorized to accept these Terms on its behalf. If you do not agree, please do not use the Website.
2. Nature of our services
Cyanway provides international sourcing and export sales development services, helping buyers and suppliers identify, qualify and connect with suitable counterparties and supporting commercial coordination and documentation.
Unless expressly agreed otherwise in a signed written agreement, Cyanway:
- does not buy, sell, take title to, possess or hold custody of any goods;
- is not a party to purchase, sale or supply contracts between buyers and suppliers;
- does not receive, hold or transfer payments on behalf of the parties; and
- is not a bank, financial institution, broker-dealer, customs broker, freight forwarder, insurer, inspection agency, or legal, tax or accounting adviser.
3. Information only – no offer
The content of the Website is provided for general information purposes. Product categories, descriptions, images, origins and examples are illustrative and do not constitute an offer, solicitation, quotation or commitment to supply or purchase any product. Availability, specifications, prices and terms are always subject to written confirmation. No binding obligation arises for Cyanway unless set out in a written agreement signed by its authorized representatives.
4. Engagements, fees and separate agreements
Any engagement of Cyanway’s services, including fees, commissions, exclusivity, confidentiality and non-circumvention, is governed by a separate written agreement. If there is any conflict between these Terms and such an agreement, the agreement prevails. Introductions and information provided by Cyanway are made in good faith for the purpose of the specific opportunity and may not be used to bypass Cyanway in breach of any applicable agreement.
5. Your responsibilities and due diligence
You are responsible for the accuracy of the information you provide and for making your own independent decisions. Before entering into any transaction, each party must carry out its own verification of counterparties, products, quality, quantities, documents, licenses, logistics, payment security and legal and regulatory compliance. Any screening or verification performed by Cyanway supports the process but does not replace your own due diligence.
6. No guarantee of results or performance
Cyanway does not guarantee that any opportunity will result in a transaction, nor the performance, solvency, conduct or compliance of any buyer, supplier or third party, the quality, quantity or delivery of any product, the authenticity of documents issued by third parties, or the fulfilment of any payment. Each party is solely responsible for its own obligations under the contracts it signs.
7. Legal and trade compliance
You agree to comply with all applicable laws, including sanctions, export and import controls, anti-money-laundering, anti-bribery and anti-corruption laws (such as the U.S. Foreign Corrupt Practices Act). Cyanway may decline, suspend or terminate any communication or engagement at its discretion, including where it has concerns about compliance, identity, legitimacy of an opportunity or reputational risk.
8. Confidentiality
We handle business information shared with us with reasonable care. Unless a separate confidentiality agreement is in place, information submitted through the Website or by e-mail is not treated as a confidential disclosure beyond the duties set out in our Privacy Policy. Information and documents you receive about other parties through Cyanway must be used only for evaluating the relevant opportunity and must not be disclosed to third parties without authorization.
9. Acceptable use
You must not:
- use the Website for any unlawful, fraudulent or misleading purpose, including false offers or forged documents;
- impersonate Cyanway, its team or any other person or company;
- copy, scrape or harvest content or data from the Website by automated means;
- introduce malware or attempt to interfere with, gain unauthorized access to, or disrupt the Website; or
- use the Website in a way that could damage Cyanway’s reputation or business relationships.
10. Intellectual property
The Website and its content — including the Cyanway name and logo, texts, images, graphics and layout — are owned by or licensed to Cyanway and are protected by intellectual-property laws. You may view and print pages for your internal business evaluation only. Any other use, reproduction or distribution requires our prior written consent.

The Website may contain links to third-party websites and services, such as WhatsApp. We do not control them and are not responsible for their content, availability or practices. Your use of them is subject to their own terms.

Cyanway’s total aggregate liability arising out of or related to the use of the Website will not exceed one hundred U.S. dollars (USD 100). Liability related to services provided under a separate written agreement is governed exclusively by that agreement. Nothing in these Terms limits liability that cannot be limited under applicable law.
14. Indemnification
You agree to indemnify and hold harmless Cyanway and its members, managers, employees and representatives from any claims, losses, liabilities, damages and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, your violation of any law, or any information or documents you provide.
15. Official channels and fraud
Cyanway communicates only through its official e-mail domain (@cyanway.us), the contact details on this Website, and signed commercial documents. We never request payments to personal accounts. Cyanway is not responsible for communications, offers or payment instructions sent by third parties using its name without authorization. Report suspicious messages to info@cyanway.us.
16. Governing law and jurisdiction
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law rules. Any dispute arising out of or related to these Terms or the Website will be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, and you consent to their personal jurisdiction. Any claim must be brought within one (1) year after it arises, to the extent permitted by law.
17. General
- Changes: we may update these Terms at any time; the “Last updated” date shows the current version, and continued use of the Website means acceptance.
- Severability: if any provision is found unenforceable, the remaining provisions remain in full effect.
- No waiver: our failure to enforce any provision is not a waiver of our rights.
- Assignment: you may not assign these Terms without our consent; we may assign them in connection with a business transfer.
- Language: if these Terms are translated, the English version prevails.
